These terms are an agreement between [LEGAL ENTITY NAME] ("we", "us") and the dental practice or person who uses UptimeUniversity ("you"). By creating an account, accepting an invitation or using the service, you agree to them. If you accept them on behalf of a practice, you confirm you are authorized to bind that practice.
1. The service
UptimeUniversity is an online training service for dental front-office teams. It includes Vera, an assistant powered by Front Office Rocks that answers questions from the Front Office Rocks training library, and, depending on your plan, lesson videos, tools for building SOPs and checklists, and related features. The features of each plan are described on our pricing page. Features marked "coming soon" are not yet available.
2. Accounts and seats
- Each seat is for one named person. Do not share sign-ins, and keep your password confidential.
- The account owner is responsible for the people they invite and for the practice details they enter, including the practice address used to decide which state's regulations apply.
- You must give accurate information and keep it up to date.
- Tell us promptly at [CONTACT EMAIL] if you believe your account has been used without permission.
3. Plans, billing and cancellation
- Plans are billed in advance, monthly, per user, at the prices shown when you subscribe. Payments are processed by Stripe under its own terms.
- You may cancel at any time. To cancel, email us at [CONTACT EMAIL] from the account owner's address and ask us to cancel. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Except where the law requires otherwise, payments are non-refundable, and we do not give refunds or credits for partial periods or unused seats.
- We may change prices with at least 30 days' notice to the account owner. A change applies from your next billing period after the notice.
- You are responsible for any taxes that apply to your subscription.
4. Training guidance, not professional advice
Vera and the training content give general guidance for front-office work. They are not clinical, dental, medical, legal, HR, tax, billing or insurance-compliance advice, and they do not create any professional relationship. Answers are generated by software and can be incomplete or wrong. Regulation answers quote and link their sources, but they are not legal advice; check the official source and consult a qualified professional before acting on them. You are responsible for the decisions your practice makes.
5. Acceptable use
You agree to follow our Acceptable Use Policy. Among other things, it prohibits scraping or bulk-copying the training content, recording or downloading lesson videos, sharing sign-ins, and entering patient health information.
6. Content and ownership
- The training content, including the videos, their transcripts and the Front Office Rocks material Vera draws on, belongs to its owners and is protected by copyright and other laws. While your subscription is active, we give your practice a limited, non-exclusive, non-transferable right to view it and use Vera's answers for the internal training of your own staff. No other rights are granted.
- You keep ownership of what your practice creates, such as SOPs and checklists, and of the questions you ask. You give us permission to store and process them to provide the service to you.
- If you send us suggestions, we may use them without obligation to you.
7. Patient information
Do not enter protected health information or other patient details into the service. UptimeUniversity is not designed to receive it, and we have not agreed to act as your HIPAA business associate.
8. Privacy
Our Privacy Policy explains how we handle personal information.
9. Changes to the service
We may add, change or remove features. If we remove a feature that is central to your plan, we will tell the account owner in advance where we reasonably can.
10. Suspension and termination
We may suspend or end access for a breach of these terms or the Acceptable Use Policy, for non-payment, or to protect the service or other users. You may stop using the service and cancel at any time, as section 3 describes.
11. Disclaimers
The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the service or its answers will be uninterrupted, error-free or complete.
12. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the 12 months before the claim arose.
13. Indemnity
You will defend and indemnify us against claims arising from your misuse of the service or your breach of these terms.
14. Governing law
These terms are governed by the laws of the State of [GOVERNING STATE], without regard to its conflict-of-laws rules. The state and federal courts located in [GOVERNING STATE] have exclusive jurisdiction over any dispute relating to them.
15. Changes to these terms
We may update these terms. We will post the new version here with a new effective date and tell account owners about material changes before they take effect. Continuing to use the service after that means you accept the updated terms.
